1. Agreement
These Terms of Service ("Terms") govern your access to and use of Makulli, including the website at makulli.com, the application at app.makulli.com, and any related services (collectively, the "Service"). The Service is operated by Amtec Links International FZ-LLC ("Makulli", "we", "us", or "our"), a free zone limited liability company incorporated in the United Arab Emirates.
By creating an account, accessing the Service, or accepting these Terms during signup, you agree to be bound by them. If you do not agree, you must not use the Service.
2. The Service
Makulli is a multi-tenant, subscription-based property management software platform. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
3. Account registration and eligibility
To use the Service, you must register an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must be at least 18 years old and legally capable of entering into a binding contract.
Each organization on the Service is treated as a separate tenant. The user who registers an organization (the "Organization Admin") is responsible for the actions of all users invited into that organization.
4. Subscription plans and billing
The Service is offered on a monthly subscription basis. Plan tiers and prices are published at makulli.com/pricing and may be updated from time to time. By selecting a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
Payments are processed by Stripe. By providing payment information, you also agree to Stripe's terms. All prices are quoted in US Dollars (USD) and exclusive of any applicable taxes, which you are responsible for paying.
5. Free trial
New organizations may be offered a 14-day free trial of a paid plan. Trials begin on the date of registration. We may modify or discontinue trial offers at any time.
6. Cancellation and refunds
You may cancel your subscription at any time from your billing page. Cancellation takes effect at the end of the then-current billing period; you retain access until that period ends. We do not provide refunds for partial periods except where required by applicable law.
7. Acceptable use
You agree not to: (a) use the Service to violate any applicable law or third-party right; (b) upload content that is unlawful, infringing, defamatory, or harmful; (c) attempt to gain unauthorized access to the Service or to other organizations' data; (d) reverse engineer, disassemble, or otherwise attempt to derive the source code of the Service; (e) use the Service to send unsolicited communications; or (f) interfere with the Service's normal operation.
We may suspend or terminate your account for violations.
8. Your data
You retain ownership of all data, content, and information you submit to the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide and improve the Service.
We treat Your Data in accordance with our Privacy Policy. Each organization's data is isolated from other organizations through row-level scoping.
9. Intellectual property
The Service, including all software, designs, text, graphics, and the Makulli brand, is the property of Amtec Links International FZ-LLC and its licensors, and is protected by intellectual property laws. These Terms do not transfer any ownership rights in the Service to you.
10. Third-party services
The Service may integrate with third-party services, including but not limited to Stripe (for payment processing) and Resend (for transactional email). Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, or behavior of third-party services.
11. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if continued provision of the Service to you would expose us to legal or operational risk. Upon termination, your right to use the Service ends immediately. You may export Your Data prior to termination using the in-app export tools.
12. Service availability and warranty disclaimer
We aim to keep the Service operating reliably but do not guarantee uninterrupted availability. The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement, except as required by applicable law.
13. Limitation of liability
To the maximum extent permitted by applicable law, Amtec Links International FZ-LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability arising from or related to these Terms shall not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Amtec Links International FZ-LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms or your use of the Service.
15. Changes to these Terms
We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law and dispute resolution
These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved in the courts located in the UAE free zone of the operating entity, or as otherwise required by applicable mandatory law.
